Agreement for Private Equity Intelligence Services

1. Service Definition

Accrue Flow provides institutional-quality intelligence and monitoring of your private equity capital commitments. We deliver:

• 2-hour SLA detection of capital calls
• Predictive cash flow forecasting
• Concentration risk alerts
• Weekly intelligence briefs

We do not execute wires, manage assets, or provide investment advice.

2. Client Obligations

• Authorize Monitoring: Forward fund communications or grant read-only portal access
• Verify Alerts: You are responsible for confirming all call details with your GP before funding
• Maintain Redundancy: Our service is a supplement, not a replacement, for your internal processes

3. Performance Guarantee

• Detection SLA: 2 hours from receipt.
• Delivery SLA: 15 minutes via WhatsApp/email.
• Remedy: 50% quarterly credit if SLA missed.
• Scope: We guarantee information delivery, not funding execution. You retain sole control of all capital.

4. Fees & Terms

• Annual Fee: $50,000 (quarterly billing)
• Payment: Stripe invoicing
• Late: Service pause after 7 days

5. No Fiduciary Duty

We are not an RIA. Our forecasts and alerts are informational only. You bear full responsibility for investment decisions.

6. Liability Cap

Our liability is limited to fees paid in the preceding 12 months. We are not liable for missed calls, GP disputes, or investment performance.

7. Confidentiality & MNPI

All fund data is treated as Material Non-Public Information. We maintain bank-grade confidentiality protocols.

8. Termination

30-day notice. Data deleted within 30 days. Survival of confidentiality clause.
